Wow! Warm congrats to our longstanding client NeoGames (Nasdaq: NGMS) for their acquisition by Aristocrat Leisure (ASX: ALL) for $1.2 billion!! The fantastic deal was signed on May 15, and was a complex cross-border take-private transaction, which required the joint efforts of interdisciplinary teams at our firm. Neogames is an online gaming company registered in Luxembourg and with shares listed on Nasdaq New York. We are proud to announce a new transaction regarding debt issuance in the amount of approximately $2.5 billion! Herzog acted as Israeli counsel to Citigroup, Goldman Sachs Bank, Mizuho, MUFG and PNC Capital Markets LLC as the active joint book-running managers of a $2.5 billion sustainability-linked senior debt offering by Teva Pharmaceuticals Industries. That offering was combined with a tender offer to acquire existing Teva notes. Congratulations to our deal team led by Ron Ben-Menachem and Mohammad Mawasi, and our tax partners Dr. Yuval Navot, Eldad Chamam, Dr. Ehab Farah and Eitan Ella, Noa Rassabi, Yahya Qaq, Fanny Elgrably and Ari Nash also worked on this transaction.

Herzog Acted as Israeli Counsel to Enlight Renewable Energy Ltd (ENLT) in a First Israeli IPO on Nasdaq in Over a Year!   In the midst of a dry spell in capital markets, Enlight successfully raised $271 million at a valuation of over $2 billion. Enlight develops, constructs, finances, and operates solar and wind energy projects in multiple locations around the world, including Israel, United States, Sweden, Spain, Croatia, Hungary and others. The Proceeds of the IPO will be used to develop additional clean energy projects. This is the first IPO by an Israeli company on Nasdaq in over a year! The Herzog team was led by Ron Ben-Menachem, Nir Dash, Joshua Ravitz, Dr. Ehab Farah, and Mohammad Mawasi. The underwriters were led by J.P. Morgan, Bank of America, Barclays and Credit Swiss. Herzog acted for Citi, Barclays and Jefferies as underwriters of an $800 million senior bonds offering by Israel Discount Bank. This is the first international bonds offering for Israel Discount Bank and one of the largest offerings by an Israeli bank. The offering was led by Ron Ben-Menachem (capital markets), Nir Dash (capital markets), Mohammad Mawasi (capital markets), Irit Roth (banking), Dr. Ehab Farah (tax), and Fanny Elgrably (capital markets). A shout out to our colleagues at Cleary Gottlieb who acted as international counsel to the underwriters.
